Terms of Use

Last Modified: June 2026

1. Contractual Relationship

These Terms of Use govern your access to and use of the Medora digital health technology platform, including all associated applications, mobile interfaces, web portals, AI-enabled tools, telehealth systems, messaging functionality, content, and related services (collectively, the "Services") made available by Medora OS Inc.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS.

Medora reserves the right, in its sole discretion, to amend, modify, or replace these Terms at any time. Updated Terms become effective upon posting.

2. Nature of the Services — Technology Platform Status

Medora operates exclusively as a digital health technology platform that facilitates connections between users and independent registered healthcare practitioners ("Healthcare Practitioners").

MEDORA DOES NOT PROVIDE MEDICAL CARE. MEDORA DOES NOT PRACTICE MEDICINE. MEDORA DOES NOT DIAGNOSE, TREAT, PRESCRIBE, OR PROVIDE CLINICAL SERVICES.

All healthcare services accessed through the Services are provided solely and exclusively by independent Healthcare Practitioners who exercise their own independent professional judgment.

Medora does not supervise, control, direct, or interfere with the clinical judgment, diagnosis, treatment decisions, prescribing practices, or professional conduct of Healthcare Practitioners.

3. No Doctor–Patient Relationship With Medora

Your use of the Services does not create a doctor–patient relationship between you and Medora.

A doctor–patient relationship, if any, is formed solely between you and the Healthcare Practitioner who provides clinical services to you.

You acknowledge that Medora has no responsibility for the quality, safety, legality, appropriateness, or outcome of any clinical services provided by Healthcare Practitioners.

4. AI Clinical Decision Support

The Services may include AI-enabled informational tools designed to support, but not replace, clinical judgment.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • AI outputs constitute automated informational content only.
  • AI does not provide medical diagnosis.
  • AI does not provide medical advice.
  • AI does not prescribe treatment.
  • AI outputs may be incomplete, inaccurate, misleading, delayed, or incorrect.
  • AI confidence indicators do not represent medical certainty.
  • AI functionality is not a substitute for consultation with a licensed Healthcare Practitioner.

5. No Emergency Use

THE SERVICES ARE NOT INTENDED FOR EMERGENCY OR LIFE-THREATENING CONDITIONS. If you are experiencing severe symptoms, rapidly worsening symptoms, symptoms involving a child or vulnerable person, or any condition you reasonably believe may be life-threatening — YOU MUST IMMEDIATELY CALL 10177 OR PROCEED TO YOUR NEAREST EMERGENCY DEPARTMENT.

Medora does not provide emergency medical services and assumes no responsibility for delay in seeking emergency care.

6. Telehealth Limitations

Healthcare delivered through telehealth inherently differs from in-person evaluation. Limitations may include:

  • Inability to perform physical examination
  • Reliance on self-reported information
  • Incomplete diagnostic data
  • Technical failures or delays
  • Environmental limitations

7. Messaging and Permanent Record

Electronic communications transmitted through the Services, including secure messaging, may become part of your permanent clinical record.

Medora does not guarantee response times to electronic communications. Electronic messaging must not be used for urgent or emergency matters.

8. Data Availability and Platform Continuity

THE SERVICES ARE NOT INTENDED TO SERVE AS YOUR SOLE OR PERMANENT MEDICAL RECORD REPOSITORY. You are solely responsible for retaining copies of prescriptions, medical summaries, and other important documentation.

9. Security and Cyber Risk Acknowledgment

Medora employs administrative, technical, and organizational safeguards designed to protect personal and health information. However, no system can guarantee absolute security.

By using the Services, you acknowledge the inherent risks of electronic transmission and agree that Medora shall not be liable for unauthorized access, data interception, or intrusion beyond its reasonable control.

10. User Responsibilities and Conduct

You agree that you will not:

  • Provide false or misleading medical information
  • Impersonate another person
  • Record consultations unlawfully
  • Disseminate confidential information
  • Reverse engineer, scrape, or data-mine the platform
  • Introduce malware or harmful code
  • Use the Services for unlawful purposes

11. Intellectual Property and License

Subject to compliance with these Terms, Medora grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for personal, non-commercial purposes only.

You may not reproduce, modify, distribute, sell, or create derivative works based upon the Services without express written permission.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MEDORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND CONTINUOUS AVAILABILITY.

You assume total responsibility and risk for your use of the Services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Medora shall not be liable for acts, omissions, negligence, malpractice, or misconduct of Healthcare Practitioners.
  • Medora shall not be liable for medical outcomes, treatment complications, misdiagnosis, prescription outcomes, or clinical decisions.
  • Medora shall not be liable for reliance on AI-generated informational output.
  • Medora shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages.
  • For claims arising solely from technical malfunction of the platform, Medora's aggregate liability shall not exceed the total fees paid in the three (3) months preceding the claim.

14. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE THAT HEALTHCARE, TELEHEALTH, AND DIGITAL PLATFORM USE INVOLVE INHERENT RISKS.

You voluntarily assume all risks arising from engagement with Healthcare Practitioners, use of telehealth services, use of AI functionality, delays in response, and infrastructure interruptions.

15. Indemnification

You agree to indemnify, defend, and hold harmless Medora and its directors, officers, employees, affiliates, and agents from and against any claims arising out of or related to your misuse of the Services, false or misleading information provided by you, your violation of these Terms, your unlawful recording or dissemination of consultations, or your failure to seek emergency care when appropriate.

16. Arbitration

To the maximum extent permitted by law, disputes may be resolved through binding arbitration seated in Johannesburg, South Africa. Arbitration shall be conducted by a single arbitrator. Nothing in this section limits your non-waivable consumer rights.

17. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

18. Entire Agreement

These Terms, together with referenced policies, constitute the entire agreement between you and Medora.
